SUBSCRIPTION TERMS AND CONDITIONS

1. TERMS AND CONDITIONS

1.1. These are the Terms and Conditions for Logicdialog Ltd (“LD”, "The Company", "us", or "we"), company number 10899737, with its registered office at Tramshed Tech, Pendyris Street, Cardiff, CF11 6BH, governing its services.

1.2. These Terms and Conditions, along with the Logicdialog Scope of delivery, collectively form the entire Agreement between Logicdialog and the Customer for the Services, superseding any other agreements, purchase orders, or proposals, whether oral or written.

1.3. These Terms and Conditions apply to both paid subscriptions and free trial versions of the services unless otherwise specified.

1.4. By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including any future modifications.

2. DEFINITIONS

2.1. Terms used in the Logicdialog Scope of delivery will hold the same meaning when used in these Terms and Conditions.


2.2. Additional Definitions:

  • Business Day: Any day that is not a Saturday, Sunday, or public holiday in the UK.

  • Benefit: Any guarantee, money-back offer, discount, or other promotional elements utilised in Logicdialog's marketing materials, whether written or verbal.

  • Channel: Methods of communication that may include, but are not limited to, social media platforms, websites, messenger services, and other electronic mediums.

  • Confidential Information: Information either clearly labelled as confidential or which reasonably should be treated as confidential.

  • Customer: The business entity described in the Services Confirmation who subscribes to the Services.

  • Customer Data: Data input by the Customer or the End-User for using the Services.

  • Documentation: Online or otherwise accessible documents provided by Logicdialog, which describe the Services and offer user instructions.

  • Data Protection Legislation: All legislation pertaining to data protection, privacy, and the use of individual information, including GDPR, DPA, and related UK-specific legislation.

  • DPA: The Data Protection Act 1998, as it may be updated or amended.

  • Effective Date: The date the Customer accepts these Terms and Conditions.

  • End-User: Third parties to whom the Customer makes the Services available.

  • Normal Business Hours: 8:00 a.m. to 6:00 p.m., local UK time, on each Business Day.

  • Services: The services rendered by Logicdialog to the Customer under this Agreement.

  • Logicdialog Scope of delivery: Assumed agreed on transaction page located at https://www.logicdialog.ai/sign-up, where these Terms and Conditions are accepted. Some sign ups that do not require set up input from Logicdialog do not rely on Logicdialog Scope of delivery.

  • Set Up: Conversational UX design, integration, and/or any professional services required from Logicdialog beyond providing platform sign up facilitation.

  • Service Level: The level at which the Services are provided to the Customer, as described in the Logicdialog Scope of delivery.

  • Software: Online software applications part of the Services.

  • Subscription Fees: Monthly fees payable by the Customer to Logicdialog for the Services.

  • Subscription Term: As described in clause 13.1.

  • Support Services Policy: Logicdialog's policy for support related to the Services, as notified to the Customer from time to time.

  • Website: The website https://www.logicdialog.ai/ or any subsequent URL which may replace it.

  • APIs: Application Programming Interfaces provided by Logicdialog as part of the Services.

  • Professional Services: Any additional build, implementation, and maintenance services available at list prices.

  • Auto-Renewal: Applicable to annual licenses and/ or license periods longer than 12 months. Not applicable Pay as you go licenses. The automatic renewal process for Subscription Terms unless the Customer gives notice of non-renewal 3 months before the Subscription Term ends.

  • Force Majeure: Unforeseeable circumstances that prevent a party from fulfilling their obligations under the Agreement.

3. RIGHT OF USE

3.1 Logicdialog grants the Customer a non-exclusive, non-transferable right to use the Services during the Subscription Term in accordance with this Agreement.

3.2 The Customer shall not, during the use of the Services:

  • 3.2.1 Distribute or store material that is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing, or racially or ethnically offensive;

  • 3.2.2 Facilitate illegal activities;

  • 3.2.3 Cause damage or injury to any person or property.

3.3 The Customer shall not:

  • 3.3.1 Attempt to modify, duplicate, create derivative works from, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation;

  • 3.3.2 Attempt to reverse compile, disassemble, reverse engineer or otherwise reduce all or any part of the Software;

  • 3.3.3 Use the Services to compete with Logicdialog;

  • 3.3.4 Use the Services to provide services to third parties without prior agreement;

  • 3.3.5 License, sell, rent, or exploit for commercial purposes any part of the Services or Documentation without prior agreement;

  • 3.4 The Customer shall maintain the confidentiality of all password and log-in details and prevent unauthorised access to, or use of, the Services. In the event of any such unauthorised access or use, the Customer shall promptly notify Logicdialog.

  • 3.5 The rights provided under this clause are granted to the Customer only, not to any subsidiary or holding company of the Customer.

4. SERVICES

4.1 Logicdialog shall provide the Services as per the selected Support tier, detailed in the Logicdialog Scope of delivery, during the Subscription Term or free trial period.


4.2 Logicdialog shall strive to make the Services available 24/7, except for:

  • 4.2.1 Planned maintenance;

  • 4.2.2 Unscheduled maintenance with at least 8 hours' notice.

  • 4.3 Logicdialog will provide standard customer support during Normal Business Hours as per the current Support Policy. Logicdialog reserves the right to amend its Support Policy at its discretion.

  • 4.4 For free trials, services will be available until the earliest of:

    • 4.4.1 The end of the free trial period;

    • 4.4.2 The start date of a paid subscription;

    • 4.4.3 Termination by Logicdialog.

  • 4.5 Data and configurations from free trials will be permanently lost unless converted to a paid subscription or exported before the end of the trial period.

  • 4.6 Logicdialog reserves the right to modify the features of a free trial at any time without prior notice.

5. CUSTOMER DATA


5.1 The Customer is solely responsible for the legality, reliability, and integrity of Customer Data.


5.2 Logicdialog reserves the right to:

  • 5.2.1 Perform statistical analysis on Customer Data for anonymised data generation;

  • 5.2.2 Process Customer Data, subject to obtaining explicit End-User consent.

  • 5.3 Both parties will adhere to Data Protection Legislation. In case of any breach, the Customer shall promptly notify Logicdialog.

  • 5.4 In the event of data loss, Logicdialog will endeavour to restore the data from the most recent backup. Logicdialog is not responsible for loss or damage caused by third parties.

  • 5.5 Data Storage: Logicdialog will store Customer Data in accordance with applicable UK data storage and retention laws.


6. CUSTOMER OBLIGATIONS


6.1. Cooperation and Information: The Customer agrees to cooperate fully with Logicdialog and grant all necessary access to information, including but not limited to, Customer Data, security credentials, configuration settings required for the provision of the Services, and permission to use logos for marketing and promotional purposes.


6.2. Legal Compliance: The Customer must adhere to all laws and regulations relevant to this Agreement and execute all obligations under this Agreement in a prompt and effective manner.


6.3. Licences and Permissions: The Customer is responsible for acquiring and maintaining any licences, consents, and permissions needed to avail the Services provided by Logicdialog.


6.4. Data Protection: The Customer must maintain a compliant privacy policy and appropriate notices on their website to govern the collection and use of personal data from end-users interacting with the AI Products.


6.5. Responsible Use: The Customer will utilise the AI Products in a manner consistent with applicable laws and regulations.


6.6. Content Integrity: The Customer shall neither transmit nor store any data that is illegal, harmful, or infringes upon the rights, including copyrights, of any third party while using the Services or AI Products.


6.7. Security Measures: The Customer shall employ commercially reasonable efforts to prevent unauthorised access or use of the Services and shall promptly inform Logicdialog of any such unauthorised activities.


6.8. Technical Compliance: The Customer shall ensure that their network and systems are compatible with the specifications provided by Logicdialog and will be solely responsible for all network and internet connections.


6.9. Proper Installation: The Customer must follow Logicdialog's installation guidelines to ensure that the Services are set up correctly.


6.10. Eligibility for Benefits: To be eligible for benefits and/or guarantees offered by Logicdialog, the Customer must:

6.10.1. Proof of Compliance: Provide evidence of fulfilling all obligations under this Agreement.

6.10.2. Promotion: Promote Logicdialog’s services via at least two different communication channels to their customer base.

6.10.3. Data Provision: Submit data metrics both pre and post-implementation, such as customer service inquiries through email and phone.


6.11. Regulatory Compliance: This clause is subject to any laws and regulations governing the provision of benefits or incentives.


7. LOGICDIALOG OBLIGATIONS


7.1. Service Quality: Logicdialog commits to delivering the Services in substantial alignment with official Documentation, executed with reasonable skill and care.


7.2. Exceptions and Remedies: Should any non-conformance arise due to the Customer's misuse or alteration of the Services, Logicdialog will endeavour to correct such non-conformance or offer an alternative means for achieving the intended results. This remedy will be the Customer’s only recourse for any such breach.

7.2.1. No Guarantee of Uninterrupted Service: Logicdialog does not assure uninterrupted or error-free service.

7.2.2. Network and Internet Risks: Logicdialog is not liable for issues arising from network or internet limitations.


7.3. Business Independence: This Agreement doesn't restrict Logicdialog from entering into similar contracts or developing comparable products or services.


7.4. Licences and Permissions: Logicdialog confirms that it holds all necessary licences, consents, and permissions to deliver its Services.


8. RIGHTS IN THE SERVICES


8.1. Intellectual Property: All intellectual property rights in the Services and associated Software and Documentation belong to or are licensed to Logicdialog.


8.2. Usage Limits: Software and Documentation are supplied exclusively for the Customer’s use of the Services as permitted by this Agreement.



9. PAYMENT TERMS


9.1 Subscription Plans

Customers shall choose from one of the available subscription plans ('Solo,' 'Team,' 'Pro,' or 'Enterprise'), and commit to a minimum12 month term. Fees for these plans are due as set forth below.


9.2 Payment Information

Customers must furnish Logicdialog with accurate and up-to-date payment information, including but not limited to credit card details or an approved purchase order, as well as pertinent billing and contact data.


9.3 Billing and Payment

Customers shall remit payment for the chosen subscription plan and any professional services as set out in the Logicdialog Scope of delivery either on a monthly rolling basis or annually. Invoices are to be paid within 30 days of their issuance date.

9.3.1 Non-Payment Consequences

Failure to process payment within the stipulated timeframe will empower Logicdialog to, without any liability:

      • Suspend the Customer's account and access to the Services.

      • Discontinue any and all Services until the outstanding invoices are settled.

9.3.2 Interest on Late Payments

Interest will accumulate on overdue amounts at an annual rate of 3% above the Bank of England's base lending rate, commencing from the due date until fully settled.

9.4 Currency and Refunds

All fees will be charged in British Pounds Sterling (£). Payments in other currencies will be converted using the Bank of England's daily spot exchange rate. All payments are non-refundable and non-cancellable.


9.5 Subscription Fee Adjustments

Logicdialog reserves the right to revise the Subscription Fees once every 12 months, with a 30-day notice period to the Customer.


9.6 Annual Increases and Multi-Year Deals

Subscription fees will increase by 10% annually unless a multi-year contract is signed, which locks in the initial rate for the duration (1-5 years) of the contract.


9.7 Professional Services

Additional fees for professional services, such as implementation, building, and maintenance, will be charged at the list price and as set out in the Logicdialog Scope of delivery


10. CONFIDENTIALITY


10.1 Confidential Information

Both parties shall maintain the confidentiality of any confidential or proprietary information disclosed during the term of this Agreement.


10.2 Limited Disclosure

Confidential information may be disclosed only to employees, agents, or subcontractors who require it to fulfil obligations under this Agreement and are under similar confidentiality obligations.


10.3 Marketing Reference

Logicdialog may publicly cite the Customer as a client for marketing purposes, unless otherwise agreed in writing.


10.4 Exceptions to Confidentiality

  • Information may be disclosed to parties who need to know for fulfilling contractual obligations and are bound by confidentiality.

  • Disclosure may be mandated by law or any legal or regulatory authority, including but not limited to criminal investigations or reporting suspected criminal activities.

11. INDEMNITY


11.1 Customer Obligations

The Customer agrees to defend, indemnify, and hold Logicdialog harmless against any claims, actions, losses, damages, and expenses (including but not limited to court costs and reasonable legal fees) that arise from:

  • The Customer's use of Logicdialog's Services or Documentation

  • Breaches of Data Protection Legislation by the Customer.


11.2 Logicdialog Obligations

Logicdialog will defend the Customer against claims that the Services or Documentation violate any existing UK intellectual property rights, such as patents, copyrights, trademarks, and will indemnify the Customer for any damages awarded, provided that:

    • The Customer promptly notifies Logicdialog of such claims.

    • The Customer cooperates reasonably with Logicdialog in the defence and settlement, at Logicdialog’s expense.

    • Logicdialog retains exclusive control over the defence or settlement.


11.3 Remedial Actions


In case of infringement claims, Logicdialog may, at its discretion:

  • Obtain the right for the Customer to continue using the Services.

  • Modify or replace the Services to make them non-infringing.

  • Terminate the Agreement with 2 Business Days' notice without further liability to the Customer.


11.4 Limitations

Logicdialog assumes no liability for infringements resulting from:

    • Modifications to Services or Documentation not made by Logicdialog.

    • The Customer using the Services contrary to Logicdialog's guidance.

    • Continued use of Services after notice of infringement has been given.


11.5 Exclusivity

This clause and clause 12 exclusively define the Customer’s rights and Logicdialog’s obligations regarding any intellectual property infringements.


12. LIABILITY

12.1 Overview

This section outlines the complete financial responsibility of Logicdialog toward the Customer in relation to:

    • Any Agreement breaches.

    • The Customer's use of Services.

    • Any representations or actions associated with this Agreement.


12.2 Limitations

Except where explicitly stated:

  • Logicdialog is not responsible for errors resulting from Customer-provided information.

  • All implied warranties are excluded to the fullest extent permitted by law.

  • Services and Documentation are provided "as is," without warranty for uninterrupted or error-free operation.


12.3 Non-Excludable Liabilities

Logicdialog’s liability for death, personal injury due to negligence, or fraudulent misrepresentation is not excluded. Otherwise, Logicdialog limits all other liabilities to the extent permitted by law.


12.4 Financial Cap

Subject to 12.3, Logicdialog’s aggregate liability for any loss arising under or relating to this Agreement is limited to £1000.

13. TERM AND TERMINATION

13.1. This Agreement commences on the Effective Date and continues for the "Subscription Term" as specified in the customer quotation. The Subscription Term may be one, twelve, twenty-four, or thirty-six months, unless otherwise mutually agreed upon by both parties.

13.1.1. For customers on an annual plan, the Agreement will auto-renew on the anniversary of the Effective Date unless a written notice to not renew is provided at least 3 months prior to the auto-renewal date.

13.1.2. Annual subscription fees increase by 10% each year upon renewal, unless the Customer has signed a multi-year Agreement, in which case the fee will remain constant for the duration of that Agreement.


13.2. Free Trials: Customers on a free trial must cancel the Service (at the latest) before the last working day prior to the end of the trial to avoid charges. Reminder emails will be sent 7 days before the trial's end date.


13.3. Termination Rights: Either party may terminate this Agreement under the following conditions:

13.3.1. Material breach of the Agreement by the other party that remains un remedied for 30 days after written notification.

13.3.2. If the other party becomes insolvent as defined by section 123 of the Insolvency Act 1986.

13.3.3. If the other party ceases or threatens to cease its business operations.


13.4. Consequences of Termination:

13.4.1. All licenses granted under this Agreement will terminate immediately.

13.4.2. Each party shall return all properties, Documentation, and other items belonging to the other party.

13.4.3. Any rights accrued as of the date of termination will not be affected.

14. DISPUTE RESOLUTION

14.1. In case of disputes, both parties agree to first attempt resolution through mediation according to the Centre for Effective Dispute Resolution Model Mediation Procedure, with a mediator nominated by the Centre. Mediation will take place in England and shall be governed by English law.

14.2. If mediation fails to resolve the dispute within 10 days or another mutually agreed period, parties are free to take additional legal steps, subject to clause 16.

15. GENERAL PROVISIONS

15.1. If Logicdialog chooses to waive any particular right, it has under the Agreement on any particular occasion this does not prevent it from exercising that right on another occasion.


15.2.   If any part of the Agreement is held by a court of law (or similar forum) to be invalid or unenforceable, this shall not affect the validity or enforceability of the rest of the Agreement.


15.3.  No variation of this Agreement shall be effective unless it is in writing and signed by the parties (or their authorised representatives).


15.4.  Logicdialog shall have no liability to the Customer under this Agreement if it is prevented from or delayed in performing its obligations under this Agreement, or from carrying on its business, by acts, events, omissions or accidents beyond its reasonable control.


15.5. The Customer is not entitled to transfer or assign its rights and obligations under the Agreement to anyone else without Logicdialog’s prior written permission.


15.6.  Nothing in the Agreement is intended to, or shall operate to, create a partnership between the parties, or to authorise either party to act as agent for the other, and neither party shall have authority to act in the name or on behalf of or otherwise to bind the other in any way (including the making of any representation or warranty, the assumption of any obligation or liability and the exercise of any right or power).


15.7.   All notices required or permitted under the Agreement will be in writing, which shall include email. Any notice shall be deemed to have been duly received:

15.7.1. if delivered personally, when left at the address and for the contact provided by the receiving party;

15.7.2. if sent by pre-paid first-class post or recorded delivery, at 9.00 am on the second business day after posting;

15.7.3. if delivered by commercial courier, on the date and at the time that the courier’s delivery receipt is signed; and

15.7.4. if sent by email, at the time of transmission if no failed delivery message is received by the sender.


15.8. The provisions of this clause shall not apply to the service of any proceedings or other documents in any legal action.

15.9. Data Protection: Both parties shall comply with all applicable requirements of the Data Protection Legislation. This clause is in addition to, and does not relieve, remove or replace, a party’s obligations under the Data Protection Legislation.


15.10. Professional Services: If the Customer opts for additional Professional Services including but not limited to build, implementation, and maintenance, such services will be invoiced separately at list price, unless otherwise stated.

16. LAW AND JURISDICTION


16.1. The entire Agreement, which includes the Logicdialog Scope of delivery referencing these Terms and Conditions, is the full and exclusive understanding between the Customer and Logicdialog. This Agreement supersedes any prior agreements, proposals, or understandings, whether written or oral, between the parties. Neither party shall rely on any representation, assurance, or warranty not explicitly set out in this Agreement.


16.2. Governing Law: This Agreement and any disputes or claims arising out of or related to it shall be governed by the laws of England and Wales.

16.2.1. Jurisdiction: Both parties irrevocably agree that the courts of England and Wales have exclusive jurisdiction to settle any disputes or claims related to this Agreement, including non-contractual matters.

16.2.2. Subscription Tiers and Fees: Customer acknowledges that they have opted for a specific subscription tier (solo, team, pro, enterprise) and that the fees, as well as automatic renewals and annual fee increases, are subject to the provisions as described in Clause 13.

SCHEDULE 2 – DATA PROCESSING + PRIVACY

This Privacy Policy explains how Logicdialog will handle and safeguard personal information, and the choices there are to access and control personal information.

This Privacy Policy (which is our “privacy notice” for the purposes of the GDPR) also describes how we collect and use personal information about chatbot users and through use of our website (www.logicdialog.ai and all subdomains). This includes when someone signs up to newsletters, fills out a form to download a piece of content or contacts us through an online form.

Logicdialog is the "data controller" of our website users’ personal data (which we call "personal information" for clarity). This means we are responsible for deciding how we hold and use personal information about you. We are required under data protection legislation to notify you of the information contained in this privacy policy.

It is important you read this Privacy Policy together with any other policy or fair processing notice we may provide on occasions when we are collecting or processing personal information about you so that you are fully aware of how and why we are using your information. This Privacy Policy supplements the other notices and is not intended to override them.

  • You will have access to your personal information and will be able to request the export, correction, or deletion of your personal information as appropriate.

  • We will be accountable to you. We are always interested in hearing your opinion regarding our compliance with these principles, this Privacy Policy, and applicable law.

What data do we collect?

You directly provide Logicdialog with most of the data we collect. We collect data and process data in the following ways:

Logicdialog collects and uses the following types of data via our chatbots:

  • Conversational interactions, anonymised pieces of information that cannot be linked back to a particular user.

  • If an intervention by a Customer Service Agent the bot will collect:

    • First name

    • Last name

    • Email address (optional)

Logicdialog collects and uses the following types of information via our website:

  • Newsletter subscription

If you wish to receive our email newsletter, we ask for some details to personalise our content. We need your email address to be able to send you the newsletter.

  • Downloading a document or insight

You can download additional resources from our website. To request these additional resources, you will have to fill out a form. In that form, we ask your first name, last name, email address, company name and website, the department you work in, and the number of employees your company has.

Our additional resources aim to educate visitors in the services we provide. As such, the information we collect helps us understand our potential customers. It also helps us craft more relevant user experiences, increasing the satisfaction from using our website.

We will use your email address to send you the document you requested. We will use your first name to address you in our automated email correspondence. We will never use the additional information to actively reach out to you, or your employer, about our services.

By downloading one of our additional resources, we assume you are at least somewhat interested in the services we provide. This legitimate interest allows us to enroll you into email nurturing campaigns about us, the work we do, and how we could help you. You can unsubscribe for these emails at any time by clicking the unsubscribe button at the bottom of any email we send you.

  • Chatbot

Interested users can fill out a chatbot enquiry form to request more information about our services. These forms collect your first name, last name, email address, phone number, company name, website, company size, and department. We use your contact information to get in touch with you and/or your employer. We use the rest of the information to understand and build your potential customer profile.

By filling out a chatbot enquiry form, we assume you are interested in the services we provide. This legitimate interest allows us to enrol you into email nurturing campaigns about us, the work we do, and how we could potentially help you. You can unsubscribe for these emails at any time by clicking the unsubscribe button at the bottom of any email we send you. This information also allows us to contact the company you work for to introduce or discuss our services.

Third-Party Tools and Processors

In our operations, we employ third-party tools such as MongoDB and Google Cloud for data processing and storage. These tools are chosen for their adherence to data protection standards. You can see their privacy policies here (Mongo DB) and here (Google Cloud).

We also use OpenAI aa a configurable component of the Logicdialog platform (with a default setting set to 'off' unless otherwise requested by customer).

Open AI can be used to summarise end user conversations, generate language model training data and generate answers to end user enquiries from pre defined knowledge bases such as websites and documents.

Third party links

This website may include links to third-party websites, plug-ins and applications. Clicking on those links or enabling those connections may allow third parties to collect or share information about you. We do not control these third-party websites and are not responsible for their privacy statements. When you leave our website, we encourage you to read the privacy policy of every website you visit.

How we use data

As a data controller, Logicdialog uses your information for the following purposes as well as those specific purposes set out previously:

  • to verify your identity;

  • to respond to requests you may make to use services provided by Logicdialog

  • to detect and deter unauthorised or fraudulent use of or abuse of the website;

  • to improve and/or optimise the website and its experience;

  • to enable us to provide customer support, and to respond effectively to your inquiries and claims;

  • to conduct user surveys;

  • to measure the effectiveness of advertisements that we place on the Internet or in other media;

  • to notify users of any other important information, if necessary;

  • to identify winners of promotional contests, to send gifts to those winners, and to deliver purchased products and the like;

  • to extract aggregated anonymised statistical data; and

  • to comply with applicable laws or legal obligations.

Do we disclose data?

Logicdialog does not disclose any website data to third parties or sell on data at any time now or in the future.

How we store data

Our website is hosted by Squarespace, Squarespace is hosted on the Amazon Web Services platform.
